MARIEN-HEIM TOWER ("MHT") WAS A SENIOR CITIZEN HOUSING PROJECT SUBSIDIZED BY THE US DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT. IN NOVEMBER 2014, MHT ENTERED INTO A CONTRACT OF SALE AND NOMINEE AGREEMENT WITH AN AFFILIATE FOR THE SALE OF ITS BENEFICIAL INTEREST IN THE PROPERTY. MHT RETAINS LEGAL TITLE TO THE BUILDING SOLELY AS A NOMINEE ON BEHALF OF ITS AFFILIATE. MHT ALSO ENTERED INTO AN AGREEMENT TO BE EXCLUSIVE AGENT FOR THE MANAGEMENT OF THE PREMISES.
