MOBIS CORPORATION ("MOBIS OR THE "CORPORATION") IS A BUSINESS CORPORATION INCORPORATED UNDER THE LAWS OF THE STATE OF NEW YORK ON MAY 4TH, 1960. MOBIS IS EXEMPT FROM FEDERAL INCOME TAX AS A "TITLE HOLDING CORPORATION" DESCRIBED IN SECTION 501(2) OF THE INTERNAL REVENUE CODE (THE "CODE"). THE MONA BISMARCK AMERICAN CENTER FOR ART AND CULTURE, INC (THE "FOUNDATION", DOING BUSINESS UNDER THE NAME "AMERICAN CENTER FOR ART AND CULTURE"), FORMERLY "MONA BISMARCK FOUNDATION, INC", AND ORIGINALLY INCORPORATED AS "M.B. FOUNDATION, INC.," WAS CREATED ON JANUARY 31, 1981 BY THE LATE AMERICAN PHILANTHROPIST COUNTESS MONA BISMARCK. ON NOVEMBER 1, 1960, MOBIS ISSUED 500 SHARES OF ITS CAPITAL STOCK, WITHOUT PAR VALUE, TO THE COUNTESS UPON THE RECEIPT BY THE CORPORATION OF USD 1,000 IN CASH AND THE CONVEYANCE TO THE CORPORATION OF THE PREMISES LOCATED IN PARIS 16E, FRANCE, 34 AVENUE DE NEW YORK (THE "PARIS PROPERTY"), SUBJECT TO THE RESERVATION BY THE COUNTESS OF A LIFE INTEREST IN THE PARIS PROPERTY. THE COUNTESS USED THE PARIS PROPERTY FROM TIME TO TIME WHEN SHE WAS STAYING IN PARIS AND PAID ALL TAXES, ASSESSMENTS AND REPAIRS AND MAINTENANCE ASSOCIATED WITH THE PARIS PROPERTY. THE SOLE ACTIVITY OF MOBIS FROM 1960 TO 1983 WAS TO HOLD TITLE TO THE REMAINDER INTEREST IN THE PARIS PROPERTY. ON FEBRUARY 24, 1983, THE COUNTESS CONTRIBUTED 500 SHARES OF MOBIS STOCK, CONSTITUTING ALL OF THE THEN ISSUED AND OUTSTANDING SHARES OF STOCK OF THE CORPORATION TO THE FOUNDATION. UPON THE COUNTESS'S DEATH ON JULY 10, 1983, MOBIS SUCCEEDED TO FEE OWNERSHIP OF THE PARIS PROPERTY. THE SOLE ACTIVITY OF MOBIS SINCE THAT DATE HAS BEEN TO HOLD TITLE TO THE REAL PROPERTY. AS NOTED ABOVE, MOBIS APPLIED FOR AND WAS GRANTED EXEMPTION FROM FEDERAL INCOME TAX AS A TITLE HOLDING CORPORATION FOR THE BENEFIT OF THE FOUNDATION, ITS SOLE SHAREHOLDER, ON JULY 31, 1987. THE FOUNDATION IS A PRIVATE OPERATING FOUNDATION EXEMPT FROM FEDERAL INCOME TAX UNDER SECTION 501(C)(3) OF THE CODE AND INCORPORATED AS A NOT-FOR PROFIT ORGANIZATION UNDER THE LAWS OF THE STATE OF NEW YORK. THE FOUNDATION PROMOTES ARTISTIC, LITERARY, SCIENTIFIC AND EDUCATIONAL ACTIVITIES.
