IN MARCH 2024, THE BOARD OF DIRECTORS VOTED TO WIND UP THE ORGANIZATION AND DISTRIBUTE ITS REMAINING ASSETS TO QUALIFIED EXEMPT ORGANIZATIONS IN ACCORDANCE WITH ARTICLE 2.3 OF THE BYLAWS. THE ORGANIZATION CONTINUED OPERATING IN SCHOOLS THROUGH MAY 2024 AND IS NOW IN THE PROCESS OF WINDING DOWN. IT IS ALSO AWAITING RESOLUTION OF AN OUTSTANDING EMPLOYEE RETENTION TAX CREDIT REFUND CLAIM, WHICH MUST BE FINALIZED BEFORE IT CAN TERMINATE.
