OSF Healthcare ("OSF"), Hospital Sisters Health System ("HSHS") and Hospital Sisters Services, Inc. ("HSSI"), entered into a Healthcare Services Transition Agreement dated as of August 18, 2015 ("Transition Agreement"), pursuant to which: HSHS ceased provision of inpatient services at St. Mary's Hospital, 111 Spring Street, Streator, Illinois ("Hospital"), effective January 4, 2016; HSHS sold to OSF certain assets that can be utilized for ambulatory facilities to be operated following closing of the proposed transaction; HSHS donated to OSF the land and buildings used for healthcare operations in Streator; and OSF will maintain ambulatory and primary care clinic services in the Streator community. As such, the organization no longer operates as a licensed hospital, and this Form 990 filing will reflect the limited financial activities of the winding down entity, and will no longer detail the activities of a hospital organization.
