THE EDUCATIONAL ALLIANCE TRANSFERRED FEE TITLE TO THE REMAINING PORTION OF THE PREMISES (LOCATED AT 179 HENRY) TO THE FOUNDATION. THE FOUNDATION ENTERED INTO THE NMTC TRANSACTION AS A QUALIFIED ACTIVE LOW INCOME BUSINESS ("QALICB") AS DEFINED IN REG. 1.4SD(D)(4)(I). AS A QALICB, THE FOUNDATION WILL BE ENGAGED IN THE ACTIVE CONDUCT OF A TRADE OR BUSINESS IN AN ACTIVITY THAT FURTHERS ITS PURPOSE AS A NONPROFIT CORPORATION.
