BDCC HOLDINGS WAS FORMED TO BE A QUALIFIED ACTIVE LOW-INCOME COMMUNITY BUSINESS IN ACCORDANCE WITH THE TERMS UNDER THE NEW MARKETS TAX CREDIT (NMTC) PROGRAM PURSUANT TO SECTION 45D OF THE INTERNAL REVENUE CODE (IRC). UNTIL FISCAL YEAR 2023 WHEN BDCC HOLDINGS UNWOUND THE NMTC STRUCTURE THEY WERE REQUIRED TO COMPLY WITH VARIOUS RULES AND REGULATIONS AND FAILURE TO COMPLY WITH THESE OR OTHER REQUIREMENTS COULD RESULT IN THE RECAPTURE OF NMTC'S ALREADY TAKEN BY THE NMTC INVESTOR.
