TD Ameritrade Charitable Fund (the "Corporation") was formed to encourage philanthropy among both individuals and entities, including individuals and entities that are customers/clients of TD Ameritrade Holding Corporation ("TD Ameritrade"). TD Ameritrade is a leading provider of securities brokerage services and related technology-based financial services to retail clients and independent registered investment advisors. In November 2019, The Charles Schwab Corporation ("Charles Schwab") announced its intent to acquire TD Ameritrade. At the time of the announcement, the Corporation was in the process of finalizing and adopting policies, procedures and platforms to serve as a sponsoring organization within the meaning of section 4966(d)(1) of the code and receive charitable contributions from donors, including both individuals and institutions; and to make grants to public charities, private operating foundations, and other organizations described in section 170(b)(1)(a) of the code. As a result of the Charles Schwab announcement to acquire TD Ameritrade, the Corporation suspended further efforts to go fully operational, and remains in such status at this time.
