ON JUNE 28, 2021, THE HOSPITAL COMMITTEE OF THE LIVERMORE-PLEASANTON AREAS DOING BUSINESS AS STANFORD HEALTH CARE-VALLEYCARE (SHC-VC) ENTERED INTO A MERGER AGREEMENT WITH VALLEYCARE CHARITABLE FOUNDATION (VCCF). SHC-VC IS THE OWNER AND OPERATOR OF A GENERAL ACUTE CARE HOSPITAL, AND VCCF'S PURPOSE WAS TO SOLICIT, RECEIVE, AND MAINTAIN GIFTS FOR THE HOSPITAL. UNDER THE MERGER AGREEMENT, VCCF WOULD BE MERGED WITH AND INTO SHC-VC. THE MERGER OF VCCF AND SHC-VC WAS CONSUMMATED AND BECAME EFFECTIVE ON JULY 12, 2021 UPON THE FILING OF THE MERGER AGREEMENT WITH THE SECRETARY OF STATE OF CALIFORNIA, LEAVING SHC-VC AS THE SOLE SURVIVING CORPORATION. THE LAST DAY OF VCCF'S EXISTENCE AS A SEPARATE CORPORATION WAS ON JULY 11, 2021, AND VCCF TRANSFERRED ITS REMAINING FUNDS TO SHC-VC ON JULY 13, 2021.
